Proofpoint has announced it will acquire Hornetsecurity, a Microsoft 365 security provider, for approximately $1 billion. Hornetsecurity offers AI-powered protection, compliance, and data security tools to over 125,000 customers globally. The acquisition will allow Proofpoint to expand its reach into the small and mid-sized business sector through managed service providers. Hornetsecurity’s strong presence across Europe and its 365 Total Protection suite made it an attractive target.
The combined company aims to deliver a unified cybersecurity platform tailored to current threats facing businesses of all sizes.
Hornetsecurity’s flagship offering includes email security, data backup, access control, and awareness training. Proofpoint plans to integrate this platform with its human-centric security capabilities, trusted by 85% of Fortune 100 companies. Both companies are committed to sharing threat intelligence and leveraging AI to enhance security solutions.
The deal aligns with Proofpoint’s strategic focus on expanding its footprint among MSPs and growing its influence across European markets. Hornetsecurity’s recurring revenue of over $160 million and annual growth of more than 20% provide financial strength. The leadership team at Hornetsecurity will remain in place and continue to drive product development.
Proofpoint will support these efforts by making the platform available to a global MSP audience.
Executives from both companies expressed excitement about the merger and its benefits for business customers worldwide. Proofpoint CEO Sumit Dhawan emphasized the importance of protecting people amid evolving threats. Hornetsecurity CEO Daniel Hofmann highlighted the opportunity to scale their offerings worldwide. The acquisition is expected to close in late 2025, pending standard regulatory approvals and conditions.
